Terms of Service

Last updated: 22 May 2026  ·  Effective: 22 May 2026
Draft — pending lawyer review. These terms are a working draft. They are binding when accepted at signup, but we will update them following Cyprus legal review. Material changes will be notified by email at least 30 days in advance.

1. Who we are

These Terms of Service ("Terms") form a binding agreement between:

You ("Customer", "you") — the business or individual using the Service; and

[YOUR LEGAL NAME], operating as a sole trader in Cyprus ("we", "us", "our"), at [BUSINESS ADDRESS], Cyprus.

Contact email: support@cyprus24h.com

By creating an account or using the Service, you agree to these Terms.

2. What the service is

The "Service" is Cyprus24h Cloud Accounting — a multi-tenant web-based accounting platform accessed at https://cyprus24h.com, providing double-entry bookkeeping, IFRS-compliant reporting, Cyprus VAT4 / VIES support, payroll, and related accounting features.

We may add, change, or remove features over time. We will give you reasonable notice (at least 30 days) before removing or materially degrading any feature you actively use.

3. Your account

To use the Service you must:

  • Be at least 18 years old, or otherwise legally capable of entering into a contract under Cyprus law
  • Provide accurate registration information and keep it up to date
  • Keep your password confidential and use a strong, unique password
  • Notify us promptly if you suspect unauthorised access to your account

You are responsible for all activity that occurs under your account, including activity by users you invite to your tenant.

We may suspend or terminate accounts that violate these Terms; see Section 12.

4. Acceptable use

You agree NOT to use the Service to:

  • Violate any applicable law (including Cyprus tax law, Cyprus data protection law, the GDPR, or sanctions laws)
  • Upload or process data you do not have the right to process
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service
  • Probe, scan, or test the vulnerability of the Service, or breach its security or authentication measures, without prior written consent
  • Use the Service to send spam or unsolicited communications
  • Use the Service in a way that imposes unreasonable load on our infrastructure (e.g. automated scraping, denial-of-service patterns)
  • Resell or sublicense the Service to third parties without our prior written consent

We may suspend access immediately if we reasonably believe you are violating this section.

5. Your data

You retain ownership of all data you upload to the Service ("Customer Data"), including your accounting records, invoices, journal entries, and contact lists.

We process Customer Data only as needed to provide the Service, in accordance with our Privacy Policy and the Data Processing Agreement (DPA), which forms part of these Terms.

You can export your Customer Data at any time via the in-product backup feature (Admin → Backup).

When your subscription ends (Section 12), we will keep your data for at least 30 days so you can export it before final deletion.

6. Fees and payment

Subscription fees apply to paid plans as advertised on our Pricing page. All prices are in EUR. VAT will be added where applicable; for Cyprus business customers we will collect VIES details if provided.

New tenants begin on a 30-day free trial of the Starter plan equivalent, with no credit card required. To continue using paid features after the trial, a card or other accepted payment method must be added. If no payment method is added, the tenant becomes read-only at the end of the trial; data remains available for export for an additional 7 days before suspension.

Payment is taken in advance, on a monthly or annual cycle as selected at signup. Late payments may result in suspension after 14 days' written notice.

7. Availability

We aim for high availability but do not promise specific uptime percentages. The Service is provided "as available". We may schedule maintenance windows and will give reasonable advance notice for planned downtime.

We are not liable for downtime caused by:

  • Internet connectivity issues outside our control
  • Force majeure events (power outages, natural disasters, etc.)
  • Your own actions or third-party services you connect to the platform

8. Intellectual property

We retain all rights to the Service software, documentation, branding, and design. You receive a non-exclusive, non-transferable licence to use the Service for your business during the term of these Terms.

The accounting product is forked from the open-source CyAccounting codebase; the original upstream licence terms also apply where relevant.

9. Confidentiality

Each party will keep the other party's confidential information confidential and use it only as necessary to perform under these Terms. This obligation survives termination.

10. Warranties and disclaimer

We provide the Service with reasonable care and skill, in accordance with applicable law.

To the maximum extent permitted by Cyprus law:

  • The Service is provided "AS IS" without other express or implied warranties
  • We do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service is fit for any particular purpose beyond what is generally expected of accounting software
  • You are responsible for verifying the accuracy of accounting outputs. The Service is a tool; you remain responsible for your tax filings, statutory accounts, and other regulatory submissions

11. Limitation of liability

To the maximum extent permitted by Cyprus law:

  • Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenues, or lost data, even if advised of the possibility of such damages
  • Our total aggregate liability under these Terms, for any cause whatsoever, is capped at the total fees you paid us in the 12 months preceding the event giving rise to liability
  • Nothing in these Terms limits liability that cannot be limited under Cyprus law (e.g. for gross negligence, fraud, or death/personal injury caused by negligence)

12. Term and termination

These Terms start when you create an account and continue until either party terminates.

You may terminate at any time by:

  1. Exporting your data (Admin → Backup)
  2. Emailing support@cyprus24h.com requesting account closure

We may terminate or suspend your account if:

  • You materially breach these Terms (e.g. acceptable-use violations)
  • Your account is inactive for more than 12 months and you don't respond to a reactivation notice
  • You stop paying applicable fees after written notice and a reasonable cure period (at least 14 days)
  • We are required to do so by law

On termination we will retain your data for 30 days to allow export, then delete it. We will retain audit logs and other records as required by law (typically 6 years for accounting/tax-relevant records).

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to you by email at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not accept changes, you may terminate (Section 12).

14. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Cyprus. Any disputes will be resolved by the courts of Cyprus, except that we may seek injunctive relief in any court of competent jurisdiction.

If you are a consumer (not acting in the course of business), your mandatory consumer rights under your local law are not affected.

15. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and DPA, are the entire agreement between you and us.
  • No waiver. Failure to enforce any provision does not waive our right to enforce it later.
  • Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor in connection with a sale of our business, on at least 30 days' written notice.
  • Contact. Questions about these Terms: support@cyprus24h.com.
